POW! Entertainment, Inc. (OTC: POWN), an advanced media and entertainment company, is founded by legendary comic book icon Stan Lee, together with Gill Champion and Arthur Lieberman. POW's principals, combined, have over a hundred years experience creating, producing and licensing original intellectual properties.

POW! will specialize in franchises for the entertainment industry, including animation and live-action feature films, plus live-action and animated television, live-action and animated DVDs, video games, licensing, merchandising, and related ancillary markets, all of which aid in the establishment of creating global franchises. POW! strategic alliances, including those with studios and networks creating new and exciting characters, will perpetuate the brands of both POW! and Stan Lee. In some cases, POW! creates "custom-tailored" properties for a specific A-list talent or director.

POWN currently has over 50 story ideas that Stan Lee has conceived and written. Of these, over 30 can be said to be in some stage of development. Stan Lee’s reputation and track record have resulted in POW achieving a great deal of success to date, in attracting a number of well-know personages to participate in POW’s numerous projects.

Stan Lee

Stan Lee, the Chief Creative Officer of POWN, is the creator and inventor of the modern superhero. A prolific author, Lee revolutionized the comic book industry by creating compelling characters who, despite extraordinary powers and talents, are none the less plagued by the same doubts and difficulties experienced by ordinary people. Some of his most enduring characters, like Spider-Man, The Hulk, and X-Men(R), have been spun off into television programs and feature films that have grossed hundreds of millions of dollars at the box office. He is also credited with co-creating Dare devil, Silver Surfer and hundreds of other characters. Stan Lee is a global icon whose body of work is enjoyed by every generation on the continent, with his name on over 2 Billion books and comic books.

Corporate Strategy

POW’s strategy is to leverage creative output of Stan Lee and it’s core team of writers and limit POW’s overhead. POW will do this by outsourcing and working with larger entities willing to finance and undertake the labor-intensive aspects of producing entertainment projects. Currently, POW’s activities include creating project concepts, finding partners willing to participate in and/or finance their development, finding the proper writers to write scripts and negotiating agreements to produce projects. POW’s goal is to have a large number of projects produced, with the hope that the majority will be ‘bread and butter’ projects and a few will become highly successful, resulting in large, on-going revenues from back-end participation, merchandising and other ancillary opportunities (For example, the hugely successful Marvel-owned Spiderman franchise, created by Stan Lee has produced revenues from the movie, DVD sales, toys, clothing, merchandise, video games, comic books, comic strips, animated TV series, endorsements/ advertising etc.).

Projects in Development

POW currently has over 30 projects "in development". The term "in development" can include all the activities required between the inception of the idea, which includes writing and production for a project through to its ultimate distribution.

Hef’s SuperBunnies

POW is partnering with Hugh Hefner, a high profile and globally recognized personality to create a pilot for an animated TV series based on his fictional adventures. POW has also entered into a contract to partner with a well-known animation studio for the production of this Series.

Stripperella

The animated series was aired on SpikeTV, featuring Pamela Anderson. It is presently being packaged as an animated DVD and a live action feature and developing licensing and merchandising opportunities.

Who Wants to Be a Superhero?

It is a tongue-in-cheek fantasy contest show in partnership with reality television guru Bruce Nash ("Meet My Folks" and "Mr. Personality") and comic pioneer Stan Lee.

Superhero Christmas

A hard cover prestige children’s book published by Harper Collins, which is currently being developed for an animated DVD and a yearly animated television Christmas special.

POW is in negotiations for an overall deal with a major games publisher and distributor for video games.

POW is currently working on cellular video games for the new G3 cellular market for the international market.

In addition to the foregoing projects that are actively being promoted and developed by POW, which has over 45 other projects that are either ready for active promotion and development, or that will be ready in the near future.

 

A final word:

Stan Lee has never felt more invigorated or enthused by the progress POW! has made in the past two years. After months of preparation, we now have more than twenty projects in active development, with dozens more fully conceptualized and ready to add to the mix.

Especially gratifying has been the warm reception awarded Stan and POW! by the major studios and networks, as well as a growing list of top screenwriters and directors who have been supporting our projects.

Stan Lee, Founder of the Company, Chairman of the Board of Directors and Chief Creative Officer

Stan Lee is the Founder of the POW and has served as its Chairman and Chief Creative Officer since inception. Known to millions as the man whose Super Heroes propelled Marvel to its preeminent position in the comic book industry, Stan Lee's co-creations include Spider-Man, The Incredible Hulk, X-Men, The Fantastic Four, Iron Man, Daredevil, Silver Surfer and Dr. Strange. Now the Chairman Emeritus of Marvel Media, Lee first became publisher of Marvel Comics in 1972. He is recognized as the creative force that brought Marvel to the forefront of the comic publishing industry. In 1977, he introduced Spider-Man as a syndicated newspaper strip that became the most successful of all syndicated adventure strips and now appears in more than 500 newspapers worldwide -- making it the longest-running of all Super Hero strips. From June 2001 until the formal creation of POW in November 2001 Stan Lee worked to form POW and to create intellectual property for POW and start the development of various POW projects.

Gill Champion, President, Chief Operating Officer and Director

Gill Champion has over 25 years of executive experience in global entertainment, marketing, retail and licensing industries. From about June 2001 until the formal creation of POW in November 2001 Mr. Champion worked to form POW and to start the development of various POW projects. Previously, he was COO and Vice President of Mirage Holdings, Inc. and concurrently worked as a production executive on the motion picture Jinnah. Mr. Champion was CEO and Chairman of American CinemaStores, Inc., a public company that operated approximately 150 locations based retailing outlets and an extensive apparel division that created designs and marketing strategies for Baywatch and Forrest Gump. Mr. Champion also has exceptional depth and experience in television and motion picture production and technology. Mr. Champion was executive in charge of Faerie Tale Theatre with Shelley Duvall while Vice President of Gaylord Productions. He was the Producer for Fort Apache the Bronx with Paul Newman and won the Producer of the Year Award. In addition, he was in charge of production for The Shining and The Boys from Brazil, while Vice President of the Producers Circle Company.

Arthur M. Lieberman, Esq., Chief Business Affairs and Director

Mr. Lieberman is an attorney specializing in Intellectual Property Law, an area in which he has practiced, taught, litigated and negotiated rights for over 35 years. He has been involved in litigating over 100 cases; negotiated hundreds of licenses; and counseled hundreds of clients. Approximately 20% of his work is in the area of character rights and, in this connection, he has granted rights to characters to Universal Studios, Fox Studios, Warner Bros., Bantam Books, Ace Books, Marvel Comics, Mattel and Hasbro, among others. Mr. Lieberman has also rendered many opinions regarding Intellectual Property valuations and is responsible for the success of several characters as the principal strategist including "Conan the Barbarian," "Red Sonja," "Kull", and "Tulsa Doom". Mr. Lieberman was a founder and Board Member of Ultralife Batteries, Inc. from March 1991 until December 2002, and was Ultralife’s Chairman of the Board from January 1999 through December 2002.

Junko Kobayashi, Assistant Treasurer, Chief Financial Officer

Ms. Kobayashi has a background in public accounting and a number of years in the private sector. Prior to joining the Company, she was controller of a public company where she was in charge of preparing financial information for SEC purposes and implemented a new accounting system to accommodate the need for detailed financial reporting for management. She was the senior auditor in charge for BDO Seidman, the public accounting firm located in Century City. Ms. Kobayashi worked for BDO Seidman auditing companies in a wide range of industries from entertainment, technology, banking, to manufacturing. Starting in Canada in public accounting 13 years ago, she has been involved in many areas of accounting and finance with first hand experience in human resource development and computer technology integration..

 

My comments:

Many of you knew the action heroes as kids and what these mean today. When you study the plan of what this company and especially Mr. Stan Lee has in mind, you will see that there is so much potential and with only a few months as a public company, makes this a superb long-term hold. Mr. Stan Lee is legendary in the comic book industry and now his company, POW! Entertainment, Inc., will move these hallmark and classics along with new creative ideas to the comforts of every home for kids and grownups to once again enjoy the memories of our youth and for the youth of today.

This is a great opportunity to acquire a company on the ground floor and there is every indications that this will be a wonderful issue for the long-term.
